1. Preamble

ASTARALTECH OÜ (trading as "ASTARAL") is a digital marketing agency registered in Estonia (registry code 17445077) specialising in cost-per-lead generation ("AstaraLeadGen"). ASTARAL operates primarily in the United Kingdom and European Union markets.

2. Definitions

  • "GCU" means these General Conditions of Use.
  • "ASTARAL" means ASTARALTECH OÜ, registry code 17445077, registered office at Telliskivi tn 57, 10412 Tallinn, Estonia (info@astaral.eu).
  • "Partner" means any provider of products or services with whom Users may be connected through ASTARAL's Lead Referral Service.
  • "Lead Referral Service" means the service whereby ASTARAL connects Users with one or more Partners who may be able to provide the products or services sought.
  • "Services" means the Lead Referral Service and any supplementary services offered by ASTARAL.
  • "Site" means the website www.astaral.eu and all landing pages and interfaces from which the Services are accessible.
  • "Interface" means any lead capture form, questionnaire, or interactive page through which Users submit data.
  • "User" means any natural or legal person who accesses the Site or uses the Services.

3. Purpose and Acceptance

3.1. These GCU govern the relationship between ASTARAL and Users when they browse the Site or use the Services.

3.2. By accessing the Site or using the Services, the User acknowledges having read, understood, and accepted these GCU. Where required, express acceptance may be requested. Users who do not accept the GCU may not use the Services.

3.3. These GCU are supplemented by our Privacy Policy and Cookie Policy.

4. Description of Services

4.1. Lead Referral Service

ASTARAL offers a lead referral intermediation service. When a User expresses interest in a product or service by completing an Interface, ASTARAL processes the request and connects the User with one or more Partners.

Important points:

  • The User initiates the request. ASTARAL does not proactively contact Users.
  • Once connected, ASTARAL does not intervene in communications or agreements between User and Partner.
  • ASTARAL does not control how a Partner contacts the User.
  • ASTARAL may contact the User solely to verify submitted information.

4.2. Supplementary Services

ASTARAL may offer optional supplementary services (e.g. satisfaction surveys). These are never required to use the Lead Referral Service.

5. Accessibility

5.1. Access requires an internet connection and suitable device. Users are responsible for connection and hardware costs.

5.2. ASTARAL makes reasonable efforts to maintain Site availability but cannot guarantee uninterrupted access. Temporary unavailability for maintenance or technical reasons does not constitute a breach.

5.3. Users are responsible for protecting their data, software, and devices against internet security threats.

6. Using the Lead Referral Service

6.1. To be connected with a Partner, the User must complete all mandatory fields in the relevant Interface and follow on-screen instructions.

6.2. ASTARAL processes and transfers information to relevant Partners within a reasonable time after validation.

6.3. ASTARAL does not guarantee that any submission will result in a connection with a Partner. A request may not succeed if the submission is incomplete, information is incorrect, no Partner is available, or at ASTARAL's sole discretion. ASTARAL reserves the right to reject, suspend, or remove any submission without notice.

6.4. Where the User qualifies as a consumer, by submitting a lead referral request the User requests immediate performance. Upon transmission to the Partner, the service is fully performed. The User may therefore waive the right of withdrawal in accordance with Article 16(a) of Directive 2011/83/EU.

7. Price

The Services are provided free of charge to Users, without prejudice to internet and hardware costs.

8. User Obligations

8.1. Users shall use the Site and Services lawfully and shall not: use them for fraudulent or harmful purposes; disrupt their functioning; use them for unauthorised commercial purposes; or impersonate any third party.

8.2. Users guarantee that information provided is accurate, complete, and up to date.

8.3. Where free-text fields are provided, content must not be defamatory, discriminatory, threatening, incite hatred or violence, infringe third-party rights, or violate any law.

9. Intellectual Property

The Site and all its elements (texts, images, logos, trademarks, software, source code, databases, etc.) are protected by intellectual property rights and are the exclusive property of ASTARALTECH OÜ, its Partners, or third-party rights holders. Any reproduction or exploitation without prior written consent is prohibited.

10. Personal Data and Cookies

ASTARAL processes personal data in accordance with the GDPR and the Estonian PDPA. See our Privacy Policy and Cookie Policy.

11. Liability

11.1. ASTARAL is bound by an obligation of best efforts. ASTARAL shall not be liable for damages arising from non-performance due to the User's fault, an unforeseeable act of a third party, or force majeure as defined under Estonian law.

11.2. ASTARAL is not liable for disputes between Users and Partners.

11.3. The Site may contain links to third-party websites. ASTARAL accepts no liability for their content.

11.4. Each party shall take reasonable steps to mitigate losses.

11.5. To the maximum extent permitted by applicable law, ASTARAL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with the use of or inability to use the Services, regardless of the theory of liability.

11.6. ASTARAL does not guarantee and makes no representation regarding the quality, suitability, reliability, or availability of any Partner's products or services. Any engagement between User and Partner is entirely at the User's own risk.

11.7. Nothing in these GCU excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law, including mandatory consumer protection provisions.

12. Disclaimer of Warranties

The Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. ASTARAL does not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.

13. Indemnification

The User agrees to indemnify, defend, and hold harmless ASTARALTECH OÜ, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the User's breach of these GCU; (b) the User's misuse of the Services; (c) information provided by the User that is false, misleading, or inaccurate; or (d) the User's violation of any applicable law or third-party rights.

14. Eligibility

The Services are intended for individuals aged 18 or over. By using the Services, the User represents and warrants that they are at least 18 years of age. ASTARAL does not knowingly collect data from or direct Services at individuals under 18.

15. Electronic Communications

By using the Services, the User consents to receiving electronic communications from ASTARAL relating to the Service (e.g. verification messages). These communications are part of the Service and do not constitute direct marketing. ASTARAL does not send marketing communications to Users.

16. Modifications

ASTARAL may modify these GCU at any time. Updated GCU take effect upon publication. Users will be notified of material changes where required by law. Continued use constitutes acceptance.

17. Miscellaneous

If any provision is held invalid, remaining provisions continue in force. Failure to enforce a provision does not constitute a waiver.

18. Governing Law and Dispute Resolution

18.1. These GCU are governed by the laws of the Republic of Estonia. Mandatory consumer protection provisions of the User's country of residence apply where they offer greater protection.

18.2. Users are encouraged to contact info@astaral.eu to seek amicable resolution. Users may also submit complaints via the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/ or contact their national consumer mediation body.

18.3. Where no resolution is reached, disputes are referred to the courts of Tallinn, Estonia, except where the User as consumer is entitled to bring proceedings in their habitual residence.
